1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the client asset portal (the “Portal”) operated by dmb digital ltd (“dmb digital”, “we”, “us”, “our”), accessible via our website. The Portal allows registered clients to create an account, log in, and upload, view, and manage digital assets such as photos, videos, and related files.

By creating an account or otherwise using the Portal, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Portal.

These Terms apply specifically to use of the Portal. Any separate written agreement, quote, or contract between you and dmb digital covering our wider services will take priority over these Terms in the event of any conflict, unless stated otherwise.

3. Eligibility and your account

• You must be at least 18 years old to register for and use the Portal.
• You must provide accurate, current, and complete information when creating your account, and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us promptly at hello@dmbfilms.co.uk if you suspect any unauthorised use of your account.
• We may suspend or terminate accounts that provide false information or are used in breach of these Terms.

4. Uploading content to the Portal

The Portal allows you to upload photos, videos, and other files (“Content”) for the purposes of our work together. When you upload Content, you confirm that:

• You own the Content or otherwise have the right and permission to upload and share it with us.
• The Content does not infringe any third party’s intellectual property, privacy, or other rights.
• The Content is not unlawful, defamatory, obscene, or otherwise inappropriate.
• Where the Content includes images of other people, you have the necessary consent to share those images with us.

You grant dmb digital a licence to store, process, view, and use uploaded Content for the purposes of providing our services to you, including generating AI descriptions as set out in Section 6. Ownership of intellectual property rights in Content you upload, and in any deliverables we produce using it, is governed by the separate agreement or contract in place between you and dmb digital for the relevant project. Where no such agreement exists or is silent on a point, please contact us to confirm the position before relying on this Policy for ownership matters, as intellectual property arrangements can vary by project.

We reserve the right to remove any Content that we reasonably believe breaches these Terms or applicable law, and to suspend or terminate access to the Portal for users who repeatedly do so.

5. Acceptable use

When using the Portal, you agree not to:

• Use the Portal for any unlawful purpose or in a way that breaches any applicable law or regulation.
• Attempt to gain unauthorised access to the Portal, other users’ accounts, or any related systems or networks.
• Upload any file containing viruses, malware, or other harmful code.
• Interfere with or disrupt the operation of the Portal, or place undue load on it (for example, through automated bulk actions not agreed with us).
• Upload Content on behalf of, or impersonating, another person without authorisation.

We may investigate and take appropriate action, including suspending or terminating accounts, where we reasonably believe these Terms have been breached.

6. Availability and changes to the Portal

We aim to keep the Portal available and functioning correctly, but we do not guarantee that it will be uninterrupted, secure, or error-free. We may suspend, withdraw, or restrict access to the Portal (or any part of it) for maintenance, security, or operational reasons, with or without notice.

We may update, modify, or discontinue features of the Portal at any time. Where reasonably practicable, we will give you advance notice of any change that materially affects your use of the Portal.

7. Intellectual property in the Portal itself

Except for Content you upload, all intellectual property rights in the Portal itself — including its design, software, layout, and branding — belong to dmb digital ltd or our licensors. You may not copy, reverse engineer, or otherwise attempt to derive the underlying design or technical workings of the Portal.

8. Disclaimers and limitation of liability

The Portal is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all warranties, conditions, and representations, whether express or implied, in relation to the Portal.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.

Subject to the paragraph above, we will not be liable to you for any indirect or consequential loss, or for any loss of data, profits, or business, arising from your use of the Portal, including any loss or corruption of Content you upload. We strongly recommend that you keep your own backup copies of any Content before uploading it to the Portal.

9. Suspension and termination

We may suspend or terminate your access to the Portal at any time, with or without notice, if we reasonably believe you have breached these Terms, if required to do so by law, or where we cease to provide the Portal generally.

You may stop using the Portal and close your account at any time by contacting us at hello@dmbfilms.co.uk. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

10. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Portal or for legal or regulatory reasons. We will post any updates on the Portal and update the “Last updated” date at the top of these Terms. Your continued use of the Portal after any update constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or your use of the Portal will be subject to the exclusive jurisdiction of the courts of England and Wales.
